How to incorporate a company in Mauritania in 2022

  1. Prior to commencing the Mauritania company incorporation process, our Client i) settles Bejarano ADF Consultants’ engagement fees, ii) signs and returns our Client engagement letter and iii) provides us all the required due diligence documents;
  2. Bejarano ADF Consultants drafts a detailed engagement project plan. This plan will map out, week by week, each step to engagement completion, optimizing transparency and settling Client expectations;
  3. Bejarano ADF Consultants and our Client agree on i) the proposed company’s name and ii) the optimum corporate structure;
  4. Bejarano ADF Consultants will reserve the company name at the Court and obtain a name reservation certificate;
  5. Our Client will supply Bejarano ADF Consultants with a lease agreement of their office premises. If our Client does not have a business premise, Bejarano ADF Consultants will provide virtual office services for the first six months or until our Client finds a business address;
  6. After this, Bejarano ADF Consultants will have the company’s deeds and articles of association translated into Arabic and courier to our Client to sign and send back then we will have them notarized;
  7. Bejarano ADF Consultants collects all necessary due diligence from our Client and then proceeds to open a corporate bank account with one of the recommended banks in Mauritania. After the account is opened, our Client deposits the required initial capital into the corporate bank account and obtains a deposit slip;
  8. Next, Bejarano ADF Consultants will file all incorporation documents with the Ministry of Finance for company registration;
  9. Bejarano ADF Consultants will then i) register the company with the Commercial Registry, ii) register the company with the National Social Security Fund (Caisse Nationale de Sécurité Sociale – CNSS), iii) register the company with the Tax Department at the Ministry of Finance and obtain a tax identification number and iv) apply for a business permit from the Ministry of Labour. When these registrations are complete, Bejarano ADF Consultants will notify the Labour Inspector of the commencement of business;
  10. Following engagement completion, Bejarano ADF Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey.
