Global PEO Company Establishes an Ethiopia Subsidiary
Background
- Our client, a global PEO services provider with subsidiaries in Europe, Americas and Africa wished to establish a new entity in Ethiopia to provide consultancy services;
- Having found Bejarano ADF Consultants Group PLC through Google and going through our Ethiopia webpage, our Client sent us an email inquiry to get more information on how establish their entity in Ethiopia;
- After initial phone call and skype discussion, our Client settled the first fee instalment with Bejarano ADF Consultants Group PLC to commence the engagement;
Engagement planning
- Because our Client was only looking to employ one individual and would not have local clients in Ethiopia, Bejarano ADF Consultants Group PLC advised our Client to register a representative office instead of an LLC;
- Our Client furnished Bejarano ADF Consultants Group PLC with scan copies of all due diligence documents to formally commence the Ethiopia engagement;
- However, due to minimum capital requirement of US$100,000 for the above entity, our Client was not keen to proceed with rep office registration;
- Since our Client was looking for a fast solution, Bejarano ADF Consultants Group PLC thus advised our Client to register a local LLC with Ethiopian national shareholders;
- Bejarano ADF Consultants Group PLC sourced for and provided our Client complete profiles of two nominee Ethiopia shareholders for his Ethiopian company;
- Bejarano ADF Consultants Group PLC prepared and emailed our Client a detailed project plan and draft business plan for the proposed entity;
Company registration
- Bejarano ADF Consultants Group PLC prepared nominee shareholder and director agreements in sent the same for our Client’s and the nominees’ signatures;
- Bejarano ADF Consultants Group PLC lodged a request with the Ethiopian Ministry of Trade to reserve our Client’s preferred company name and obtained an approval within 2 days;
- Bejarano ADF Consultants Group PLC staff travelled to Addis Ababa, Ethiopia to meet the nominee shareholder and to secure an office space and settle rental fees for our Client’s Ethiopia office;
- Within 1 days Bejarano ADF Consultants Group PLC obtained a lease agreement in accordance with the Ethiopian company registration laws;
- Thereafter Bejarano ADF Consultants Group PLC prepared the company registration documents for our nominee shareholders’ and submitted the same together with the lease agreement for authentication with the Documents Authentication and Registration Office (DARO);
- Upon authentication, Bejarano ADF Consultants Group PLC submitted the complete company registration application to the Commercial Registrar at the Ethiopian Ministry of Trade;
- Within 1 week of application submission, Bejarano ADF Consultants Group PLC obtained the commercial registration certificate and the tax identification number (TIN) and email the same to our Client;
Engagement completion
- To comply with the Ethiopian Government legal requirements, Bejarano ADF Consultants Group PLC emailed our Client a sample tax invoice for their convenience;
- Because our Client was not going to commence operations immediately in Ethiopia and the company would thus remain dormant for at least one year, our Client decided not to secure a corporate bank account;
- Our Client decided to maintain Bejarano ADF Consultants Group PLC Ethiopian nominee shareholder as his Ethiopian company’s general manager responsible for the company to the authorities;
- Our Client confirmed they did not require a local corporate bank account and settled the outstanding company registration and nominee shareholders fees;
- Bejarano ADF Consultants Group PLC prepared all the corporate documents including business registration certificate, M&AA and director and shareholder nominee agreements and couriered the same to our Client’s address in USA.
