10 steps to incorporating in Nicaragua in 2022
- Prior to Nicaragua company incorporation, our Client i) settles Bejarano ADF Consultants’ incorporation fees, ii) signs and returns our Client engagement letter and iii) provides us all the required due diligence documents;
- Bejarano ADF Consultants drafts a detailed Nicaragua company setup engagement project plan. This plan will map out, week by week, each step to engagement completion, optimizing transparency and settling Client expectations;
- Bejarano ADF Consultants assists our Client to decide on i) proposed company’s name and ii) the optimum corporate structure including directors and shareholders;
- Bejarano ADF Consultants will appoint a notary public to draft the incorporation documents and bylaws and thereafter sign them. Next we will collect all necessary due diligence from our Client and details of the proposed company’s activities and then proceed to open a corporate bank account for the company with one of the recommended banks in Nicaragua and then deposit the required initial capital into the corporate bank account and obtain a deposit slip;
- Bejarano ADF Consultants will then buy the company accounting books as well as the corporate books as required by Nicaragua company law;
- We will then reserve the company name and proceed to i) file the incorporation documents ii) register the accounting books and iii) register the company as a trader with the Commercial Registry and obtain a name reservation certificate;
- Next Bejarano ADF Consultants will pay the inscription fees at the recommended commercial bank. After this, Bejarano ADF Consultants will obtain the Documento Unico de Registro (DUR) and the pre-municipal license from the Dirección General de Ingresos (DGI);
- After that Bejarano ADF Consultants will obtain the municipal license from the Municipality of Managua;
- Our Client will then supply Bejarano ADF Consultants with a lease agreement of their office premises. If our Client does not have a business premise, Bejarano ADF Consultants will provide virtual office services for the first six months or until our Client finds a business address;
- Following the company incorporation engagement completion, Bejarano ADF Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey.
